1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the App on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not download or use the App.

2. Description of Service

The App is a voice-first AI agent interaction platform designed for business use. The App enables users to:

• Interact with AI agents via voice
• Manage and review AI-generated artifacts (such as leases, charges, tasks, work orders, and other business records)
• Receive and respond to agent-initiated reachouts and notifications
• Access organisation-specific data and workflows

3. Accounts and Access

3.1 Account Registration

Access to the App requires an account issued or approved by your organisation's designated operator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Passwordless Authentication

The App may use passwordless authentication via email-based magic links. You are responsible for ensuring that your email account is secure and accessible only to you.

3.3 Organisation Access and Operator Responsibilities

Your access is tied to one or more organisations. Your role within each organisation (e.g., operator, principal, or guest) determines the features and data available to you.

Operators are responsible for:

• Managing and controlling user access within their accounts
• Ensuring their users are informed of and comply with these Terms
• Maintaining accurate and up-to-date user records within the platform
• Ensuring that AI-generated artifacts produced through their account are reviewed and verified before being relied upon for any business purpose
• Obtaining all necessary consents from end users for data collection and processing activities governed by applicable law

3.4 Account Security

You agree to notify us immediately at [email protected] if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account.

4. Permitted Use

You agree to use the App solely for its intended business purposes and in compliance with all applicable laws and regulations. You must not:

• Use the App for any unlawful, fraudulent, or harmful purpose
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Attempt to gain unauthorised access to any system, network, or data
• Use the App to transmit malware, spam, or any malicious content
• Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure
• Manipulate or attempt to manipulate AI agents to produce inaccurate, misleading, or fraudulent business artifacts (including but not limited to leases, charges, tasks, or work orders)
• Resell, sublicense, or redistribute access to the App without written authorisation from Kinxshn

5. Intellectual Property

All content, features, functionality, and technology in the App — including but not limited to the codebase, AI agent logic, UI components, audio processing systems, and branding — are the exclusive property of Kinxshn and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App solely as authorised under these Terms. No rights are transferred to you by your use of the App.

6. AI-Generated Content and Artifacts

The App uses AI agents to generate and surface information, recommendations, and business artifacts. You acknowledge that:

• AI-generated content may not always be accurate, complete, or up to date
• You are solely responsible for reviewing, verifying, and acting on any AI-generated content
• Kinxshn makes no warranties regarding the accuracy or fitness for purpose of AI-generated content
• AI interactions may be logged and reviewed for quality, safety, and improvement purposes

7. Audio Recording and Processing

The App records audio from your device's microphone for voice interaction with AI agents. By using the voice features, you consent to the collection, transmission, and processing of your voice data as described in our Privacy Policy. You are responsible for obtaining any required consents from other individuals whose voices may be captured while using the App.

8. Data, Privacy, and GDPR Compliance

8.1 Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share your personal and organisational data. By using the App, you consent to the data practices described therein.

8.2 Data Controller and Processor

Kinxshn acts as a data controller in respect of personal data collected directly through the App. Where Kinxshn processes personal data on behalf of an operator, it acts as a data processor and will do so only in accordance with the operator's instructions and applicable law.

8.3 Lawful Basis for Processing

We process personal data on the following lawful bases under UK GDPR / EU GDPR:

• Contract performance — to provide the services you or your organisation have contracted for
• Legitimate interests — to improve the App, ensure security, and develop new features, where such interests are not overridden by your rights
• Consent — for any processing activities where consent is required (e.g., audio data, marketing communications)
• Legal obligation — where processing is required to comply with applicable law

8.4 Your Data Subject Rights

If you are located in the UK or European Economic Area, you have the following rights under UK GDPR / EU GDPR:

• Right of access — you may request a copy of the personal data we hold about you
• Right to rectification — you may request correction of inaccurate or incomplete data
• Right to erasure — you may request deletion of your personal data in certain circumstances
• Right to restriction — you may request that we restrict processing of your data in certain circumstances
• Right to data portability — you may request a machine-readable copy of your data
• Right to object — you may object to processing based on legitimate interests or for direct marketing
• Rights related to automated decision-making — you have rights where decisions are made solely by automated means

You also have the right to lodge a complaint with your relevant supervisory authority — in the UK, this is the Information Commissioner's Office (ICO); in the EU, your national data protection authority.

8.5 International Data Transfers

Kinxshn operates across both European and US jurisdictions. Where personal data is transferred outside the UK or EEA, we ensure appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) or equivalent mechanisms as required by applicable law.

8.6 Data Retention

We retain personal data only for as long as necessary to fulfil the purposes for which it was collected, or as required by applicable law. Details of our retention periods are set out in our Privacy Policy.

9. Push Notifications

The App may send push notifications to your device via third-party services. You can manage notification preferences through your device settings. Standard data rates from your carrier may apply.

10. Third-Party Services

The App integrates with third-party services (e.g., push notification providers, analytics). Your use of those services is subject to their respective terms and privacy policies. Kinxshn is not responsible for the practices or content of any third-party services.

11. Availability and Updates

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We may also release updates to the App that you may be required to install to continue using it. We are not liable for any disruption or loss resulting from downtime, updates, or changes to the App.

12. Force Majeure

Kinxshn shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, pandemics, strikes, or failures of third-party telecommunications networks or infrastructure. In such circumstances, Kinxshn's obligations will be suspended for the duration of the event.

13. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KINXSHN DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINXSHN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL KINXSHN'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kinxshn and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) your violation of these Terms; or (c) your violation of any third-party rights.

16. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, all licences granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination will do so, including Sections 5, 6, 13, 14, and 15.

17. Governing Law and Dispute Resolution

17.1 European Users

For users located in the European Economic Area or the United Kingdom, these Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. Nothing in this clause limits your rights to bring proceedings in the courts of your country of habitual residence under applicable consumer or data protection law.

17.2 United States Users

For users located in the United States, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

17.3 General

We will attempt to resolve any disputes amicably before resorting to formal legal proceedings. If you have a complaint, please contact us at [email protected] in the first instance.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Kinxshn with respect to the use of the App and supersede all prior agreements, understandings, and representations.

20. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes via in-app notification or email at least 14 days before they take effect. Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.
